These Terms & Conditions ("Terms") govern your use of the versatilereserve.com website (the "Site") and all products and services provided by Versatile Reserve LLC, a Wyoming limited liability company ("Versatile Reserve," "we," "us," or "our"), including lead sales, data products, live call transfers, call center services, and consulting engagements (collectively, the "Services"). By accessing the Site, submitting an inquiry, placing an order, or using any of our Services, you agree to be bound by these Terms in full. If you do not agree, do not use the Site or Services.
Agreements for the purchase of Services may be formed in writing, by email, by electronic communication (including SMS and messaging platforms), or verbally. You acknowledge and agree that verbal agreements, including terms agreed upon by telephone, are valid, binding, and enforceable to the fullest extent permitted by law. Confirmation of an order by email, payment of an invoice, or acceptance of delivery of any Services shall each independently constitute acceptance of the agreed terms.
By communicating with Versatile Reserve in any manner — including speaking with any member of our team by phone or otherwise, submitting any form on this Site, sending us an email or text message, or engaging in any other form of communication with our company — you expressly consent to receive communications from Versatile Reserve and its affiliates, including both emails and text (SMS/MMS) messages, regarding your inquiry, our products and services, promotions, and related business matters.
Payment is due as stated on the applicable invoice or as otherwise agreed. Unless expressly agreed in writing, orders are not scheduled for delivery until payment is received in full.
We reserve the right to suspend or cancel delivery of Services for any account with an outstanding balance. Chargebacks or payment disputes initiated in breach of these Terms shall entitle Versatile Reserve to recover the disputed amounts, plus reasonable costs of collection, including attorneys' fees.
Our lead, data, and call products are sold on an as-is, as-available basis. While we take significant steps to source, verify, and scrub our inventory, we make no representation, warranty, or guarantee of any kind regarding conversion rates, contact rates, funding outcomes, sales results, revenue, or any other measure of performance. Historical performance of any product is not a promise of future results.
Any replacement of individual records (for example, disconnected numbers or undeliverable emails) is offered solely at our discretion or as expressly stated in a written or verbal agreement for a specific order, and is the exclusive remedy for data quality issues.
You are solely responsible for your use of any leads, data, or calls purchased from us, including compliance with all applicable laws and regulations, including without limitation the Telephone Consumer Protection Act (TCPA), the Telemarketing Sales Rule (TSR), CAN-SPAM, state telemarketing and privacy laws (including the CCPA/CPRA where applicable), Do-Not-Call registries, and any industry-specific rules applicable to your business (including insurance, lending, and financial services regulations).
Versatile Reserve is a data and marketing services provider; nothing we provide constitutes legal advice regarding your outreach obligations.
Unless expressly agreed otherwise, leads and data products are licensed to you for your internal business use only. You may not resell, redistribute, broker, share, or otherwise transfer our data to any third party without our prior written consent. Exclusive lead products are sold exclusively to you as the buyer of record; exclusivity does not restrict the consumer's own independent inquiries to other providers.
Call center build-out, BPO, and consulting engagements are governed by the scope, deliverables, timeline, and fees agreed for the specific engagement (whether in writing or verbally). Estimates of timelines are good-faith projections, not guarantees. Fees for completed phases and work performed are earned when performed and are non-refundable.
The Site and all content on it — including text, design, graphics, logos, and branding — are the property of Versatile Reserve LLC or its licensors and are protected by intellectual property laws. You may not copy, reproduce, or use them without our prior written consent.
Pricing, product structures, sourcing information, and the terms of any engagement are confidential. You agree not to disclose them to any third party except as required by law.
To the maximum extent permitted by law: (a) Versatile Reserve shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost revenue, or lost business opportunities, arising out of or relating to the Site or Services, even if advised of the possibility of such damages; and (b) our total aggregate liability for any claim arising out of or relating to the Site or Services shall not exceed the amount actually paid by you to Versatile Reserve for the specific order giving rise to the claim during the three (3) months preceding the event giving rise to the claim.
You agree to defend, indemnify, and hold harmless Versatile Reserve LLC, its members, managers, employees, contractors, and affiliates from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of any leads, data, calls, or other Services; (b) your outreach or marketing activity; (c) your breach of these Terms; or (d) your violation of any law or the rights of any third party.
These Terms and any dispute arising out of or relating to the Site or Services shall be governed by the laws of the State of Wyoming, without regard to conflict-of-law principles. The parties agree to first attempt in good faith to resolve any dispute informally. Any legal action shall be brought exclusively in the state or federal courts of competent jurisdiction, and each party consents to personal jurisdiction therein. Each party waives any right to a jury trial and agrees that any claim must be brought individually, not as part of a class action.
